1. Acceptance of Terms
By browsing the Site, submitting a form, or entering into a proposal, quote, or agreement with CodeHypes, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Site or Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Services
CodeHypes offers web and software development, mobile app development, UI/UX design, AI and automation, SEO, paid advertising, branding, and related digital services. The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate proposal, statement of work, or written agreement ("Engagement"), which forms part of the agreement between you and CodeHypes together with these Terms. In the event of a conflict, the Engagement document will govern.
3. Use of the Site
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. You must not attempt to gain unauthorized access to the Site, its servers, or any systems connected to it, or introduce any viruses, malware, or other harmful material.
4. Intellectual Property
Unless otherwise agreed in writing, all content on the Site — including text, graphics, logos, and code — is the property of CodeHypes or its licensors and is protected by applicable intellectual property laws. For client projects, ownership of final deliverables transfers to the client upon full payment as specified in the applicable Engagement, except for pre-existing tools, frameworks, or components owned by CodeHypes or third parties, which remain licensed rather than transferred.
5. Client Responsibilities
You agree to provide accurate information, timely feedback, and any content, credentials, or access required for CodeHypes to perform the Services. Delays in providing required materials may affect project timelines. You are responsible for ensuring that any content, trademarks, or materials you provide to us do not infringe the rights of any third party.
6. Fees & Payment
Fees, payment schedules, and applicable taxes for Services will be set out in the relevant proposal or Engagement. Unless otherwise agreed, invoices are due within the timeframe specified on the invoice. Late payments may result in suspension of ongoing work until accounts are brought current.
7. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or project information disclosed by the other party in connection with an Engagement, and to use it solely for the purpose of performing or receiving the Services, unless a separate non-disclosure agreement specifies otherwise.
8. Warranties & Disclaimers
We strive to deliver high-quality Services, but the Site and any general information on it are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, non-infringement, or uninterrupted availability. Specific warranties, if any, relating to delivered Services will be set out in the applicable Engagement.
9. Limitation of Liability
To the maximum extent permitted by law, CodeHypes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site or the Services. Our total liability for any claim arising from an Engagement shall not exceed the total fees paid by you for the Services giving rise to the claim.
10. Termination
Either party may terminate an Engagement in accordance with the terms set out in that Engagement. We reserve the right to suspend or terminate access to the Site for any user who violates these Terms. Termination does not relieve either party of obligations accrued prior to termination, including payment for work completed.
11. Third-Party Links & Tools
The Site may link to or integrate third-party websites, platforms, or tools that are not controlled by CodeHypes. We are not responsible for the content, accuracy, or practices of any third-party site or service, and inclusion of a link does not imply endorsement.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation in the first instance, and thereafter through the courts or arbitration forum specified in the applicable Engagement.
13. Changes to These Terms
We may revise these Terms from time to time. The updated version will be indicated by a revised "Last updated" date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
